Terms of Use

Effective date: September 20, 2026

Version: 1.2

These Terms are an agreement between you and WAGA LLC (“we,” “us,” or “our”) governing the VoiceNote app, websites, and related services. Apple is not a party to these Terms. Please read these Terms and the VoiceNote Privacy Policy before downloading, creating an account, or using VoiceNote. If you do not agree, do not use the service.

Before publication, replace every item in double brackets with accurate information and have the Terms reviewed for the operator’s jurisdiction and each distribution region.

1. The Service

VoiceNote provides local audio recording, import, and playback and, at your request, may provide cloud transcription, summaries, action-item extraction, templates, note-based questions, search, editing, export, and sharing. Available features, languages, quotas, and platforms depend on the version you use and the purchase screen.

Some local features may work without an account. Cloud AI, subscriptions, and entitlement restoration may require Sign in with Apple. An internet connection, sufficient storage, system permissions, and a compatible iOS version may be required for certain features.

2. Eligibility and Accounts

You must be old enough to enter into these Terms in your location. Otherwise, a parent or legal guardian must consent to and supervise your use. You must provide lawful, accurate information and protect your device, Apple account, and credentials.

You may not sell, rent, or transfer your account. Notify us at abc@aiwaga.com if you suspect unauthorized use. Subject to applicable law, you are responsible for activity conducted through your account when reasonable safeguards are in place.

Recording and call-consent rules vary by country, state, workplace, classroom, healthcare setting, and type of communication. Before recording, importing, transcribing, or sharing content, you must:

  • notify everyone involved and obtain all required consent;
  • confirm that you have the right to process, upload, edit, and share the audio and text;
  • comply with privacy, data protection, communications secrecy, intellectual property, and industry rules; and
  • avoid secret, deceptive, harassing, or otherwise unlawful recording.

VoiceNote’s recording indicator, sound, or notice does not replace your legal obligations. We cannot determine whether a particular recording is lawful or whether participants have consented.

4. AI Features and Limitations

Transcripts, speaker separation, summaries, tasks, answers, and rewrites are generated by automated systems and may be incomplete, inaccurate, delayed, or contextually wrong. Speaker labels distinguish voices; they do not verify identity.

Verify names, numbers, dates, decisions, quotations, and action items against the original recording. VoiceNote does not provide medical, legal, financial, employment, safety, or other professional advice and must not be the sole basis for a high-impact decision. In a healthcare context, VoiceNote organizes recorded information only and does not provide a diagnosis, prescription, or treatment recommendation.

Instructions spoken or written within a recording are treated as content, not as commands to the service. VoiceNote does not automatically send email, make promises, transfer money, or operate other accounts based on a recording.

5. Local Content, Cloud Processing, and Backups

Original recordings and notes are stored on your device by default. Content needed for cloud AI is uploaded only when you request that feature. See the VoiceNote Privacy Policy for processing and retention details.

You are responsible for keeping an independent backup of important material. The first release does not promise cross-device restoration or cloud backup. Uninstalling the app, losing or damaging a device, erasing system data, permanently deleting a note, or deleting an account may permanently remove content that was not exported.

We take reasonable steps to protect recordings and processing jobs, but cannot guarantee recovery from every device failure, operating-system interruption, network problem, or event beyond our reasonable control.

6. Your Content and Our Limited License

As between you and us, you retain the rights you have in your recordings, imported files, notes, edits, and outputs. You represent that you own the content or have the rights and permissions required to use it.

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, copy, transform, transmit, and process content for as long as necessary to provide, secure, and support the features you request. This license ends when the content or account is deleted under the Privacy Policy, except for limited records we are legally required to keep.

We do not acquire ownership of your content merely because you use VoiceNote. We do not use it to train general-purpose AI models for other customers without your separate, explicit consent.

7. Acceptable Use

You may not use VoiceNote to:

  • violate another person’s privacy, publicity, voice, copyright, trade-secret, or other rights;
  • conduct unlawful surveillance, stalking, harassment, threats, discrimination, fraud, impersonation, or defamation;
  • process credentials, payment data, or highly sensitive information you have no right to obtain;
  • distribute malware or attack, interfere with, or bypass security, quota, or access controls;
  • scrape, resell, automate at scale, or train a model on the service without permission;
  • reverse engineer or attempt to derive source code, except where applicable law expressly permits it; or
  • present AI output as a verified human record or exact quotation when it has not been checked.

We may investigate suspected abuse and, where reasonably necessary, limit features, pause processing, or terminate an account. Immediate action may be required for urgent safety risks or legal obligations.

8. Free Allowances, Subscriptions, and Purchases

VoiceNote may offer a free allowance and auto-renewable monthly or annual VoiceNote Pro subscriptions. The subscription name, duration, benefits, available AI minutes or requests, full localized price, and any trial terms are shown on the purchase confirmation screen.

  • Apple processes payment through your Apple Account and charges it when you confirm the purchase.
  • An auto-renewable subscription continues until you cancel it through Apple before the end of the current billing period. After cancellation, access normally continues through the paid period.
  • You can manage or cancel in iOS Settings → Apple Account → Subscriptions or through VoiceNote’s Manage Subscription link.
  • Restore Purchases restores an eligible entitlement; it does not recover deleted or unbacked-up local notes.
  • Apple handles refunds under its policies. We do not receive your complete payment credentials and cannot guarantee that Apple will approve a refund.
  • Expiration does not prevent access to or export of existing on-device recordings and notes, but new cloud AI use may require an entitlement or available quota.
  • Unless the purchase screen expressly states otherwise, unused allowances do not roll over, have cash value, or transfer to another account.

If a free trial is offered, the purchase screen will clearly show its duration and the renewal price after the trial. The localized system confirmation screen controls the actual price and duration.

When you export or use the iOS share sheet, recipients and third-party apps process their copies under their own terms. A completed share action does not mean the recipient read or deleted the content.

If VoiceNote offers public links, content becomes accessible only after you create a link. You are responsible for choosing its access scope and expiration and distributing it securely. Revocation blocks future access through that link but cannot retrieve copies another person already downloaded, copied, or reshared.

10. Intellectual Property

VoiceNote’s software, brand, interface, templates, documentation, and service technology are owned by us or our licensors. No intellectual property is transferred except for the limited right to use the service under these Terms.

To report infringement, contact abc@aiwaga.com with proof of rights, the content location, contact details, and a good-faith statement. We, not Apple, are responsible for intellectual-property claims involving VoiceNote.

11. Service Changes and Availability

We may improve, add, limit, or discontinue features for security, legal, technical, or business reasons. If a change materially affects paid benefits, we will provide notice and an appropriate remedy as required by law.

Cloud processing may be unavailable because of maintenance, connectivity, operating-system restrictions, providers, or force majeure. We will use reasonable efforts to restore the service and will not represent a failed job as successfully processing.

12. Sign-Out, Suspension, and Deletion

Signing out does not automatically delete local content. Account deletion revokes access and begins deletion under the Privacy Policy; previously exported copies cannot be recovered.

You may stop using the service at any time. We may suspend or terminate an account for a serious or repeated breach, security risk, or legal requirement, with notice and an appeal path where reasonably available. Termination does not affect prior payment obligations, statutory rights, or provisions that by their nature survive.

13. Third-Party Services

VoiceNote may use Apple, cloud hosting, transcription, AI, diagnostics, and support services. Those services may have their own terms. We contractually restrict processors acting for us, but we do not control third-party apps, sites, or recipients that you independently choose.

14. Disclaimers

To the maximum extent permitted by law, VoiceNote is provided “as is” and “as available.” We do not warrant uninterrupted operation, absolute security, universal recovery, or complete accuracy of any transcript, summary, task, answer, or speaker label.

Nothing in these Terms excludes warranties, remedies, or consumer rights that applicable law does not allow us to exclude.

15. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential losses, or loss of profits, goodwill, data, or opportunity. Our aggregate liability for all claims arising from the service will not exceed the amount you paid for VoiceNote in the 12 months before the event giving rise to the claim or US$100, whichever is greater.

These limits do not apply to intentional misconduct, gross negligence, personal injury, fraud, non-excludable data-protection duties, or liability that applicable law does not permit us to limit.

16. Indemnity

To the extent permitted by law, if your unlawful recording, unauthorized upload or disclosure, infringement, or serious breach causes a third-party claim against us, you agree to cover our reasonable resulting losses and costs. This section does not apply where local consumer law prohibits it.

17. Governing Law and Disputes

These Terms are governed by the laws that are binding on WAGA LLC, the service, and you, without taking away mandatory consumer rights in your place of residence. Before filing a claim, the parties should first attempt to resolve the dispute by contacting abc@aiwaga.com. If it cannot be resolved, either party may bring a claim before a court of competent jurisdiction. This section does not limit a consumer’s right to seek relief from a local court, regulator, or other forum available under applicable law.

18. Apple App Store Terms

If you obtained VoiceNote from Apple’s App Store:

  1. These Terms are between you and us, not Apple. We alone are responsible for VoiceNote and its content.
  2. Subject to the Usage Rules in the Apple Media Services Terms and Conditions, we grant you a non-transferable license to use VoiceNote on Apple-branded products you own or control. Family Sharing and other Apple-permitted uses remain available where applicable.
  3. Apple has no obligation to provide maintenance or support. We provide support at abc@aiwaga.com.
  4. If VoiceNote fails to conform to an applicable warranty, you may notify Apple and, where applicable, Apple may refund the purchase price of the app itself. To the maximum extent permitted by law, Apple has no other warranty obligation.
  5. We, not Apple, are responsible for product-liability, regulatory, consumer-protection, privacy, or other claims involving VoiceNote or its use.
  6. We, not Apple, are responsible for investigating, defending, settling, and resolving intellectual-property claims involving VoiceNote.
  7. You represent that you are not located in a country or region subject to a U.S. Government embargo and are not on a U.S. Government prohibited or restricted-party list. You will comply with applicable third-party terms.
  8. Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple may enforce this section as a third-party beneficiary.
  9. Apple’s Standard End User License Agreement applies where relevant. If these Terms conflict with Apple’s mandatory Usage Rules, those rules control.

Apple Standard EULA

19. Changes to These Terms

We may update these Terms. We will provide in-app or other reasonable notice of material changes and obtain renewed agreement where required. Continued use after the effective date constitutes acceptance, but does not retroactively reduce statutory consumer rights that have already accrued.
